Primary Responsibilities
- Manage the provision of quality corporate administrative services to an assigned portfolio of fund companies, ensuring compliance with regulatory requirements and best practices.
- Act as Secretary to companies within the portfolio, handling all secretarial duties and responsibilities as required by law and each company’s constitution.
- Make applications to and notify relevant regulatory authorities regarding any statutory changes ensuring timely compliance with regulatory obligations are met.
- Convene Board and Shareholder meetings for each company, ensuring current proxies, adequate quorum, and compliance with procedural requirements.
- Attend Board and Shareholder meetings for companies, providing advice on corporate secretarial matters as necessary to ensure compliance and good governance.
- Record Board and Shareholder meeting minutes accurately, draft, and circulate such minutes to appropriate parties in a timely manner.
- Provide assistance with the provision of boardroom and other support facilities for meetings held, ensuring smooth conduct of meetings.
- Ensure timely remittance of annual company, business, filing, and license fees to regulatory authorities, maintaining compliance with relevant legislation.
- Ensure corporate records of companies are updated, and the companies are in compliance and good order, maintaining changes to regulatory and administrative status in Krypton’s corporate administration system.
- Assist Management with general administration of client and company processes, providing support as needed to ensure efficient operations.
- Perform any other activities reasonably required by the role to support the effective functioning of corporate secretarial duties.
- Coach junior staff and aim towards increasing understanding of the mechanics of company administration.
- Develop understanding of more complex money laundering and regulatory issues.
- Effect customer due diligence as per AML Code.
Qualifications and Skills Required:
- Holds an undergraduate degree in a related field or holder of ACCA or ICSA (partly qualified candidate will be taken into consideration)
- Minimum 5 years’ working experience in corporate administration.
- Proficient knowledge of investment funds and fund administration as it relates to corporate administration.
- Working knowledge of the Companies Act and statutory regulations relating to the administration of companies in Bermuda.
- Familiarity with Bermuda regulatory environment, including Anti-Money Laundering and Anti-Terrorist Financing regulations and reporting.
- Strong computer skills and effective communication skills, both verbal and written.
- Ability to manage a fast-paced office environment with changing demands and willingness to work overtime and public holidays when required.
- Organized, able to multitask, and work under pressure to meet deadlines in a team environment.
- Experience in Paxus Fund Accounting software is essential.
- Strong analytical and problem-solving skills.
- Sound knowledge of regulatory framework and AML/CFT requirements would be an asset.
- Willingness to work extended hours as required.
